Greater Pinellas Music Teachers Association
Constitution
Article I – Name
The name of this organization shall be Greater Pinellas Music Teachers Association, affiliated with the Florida State Music Teachers Association (“FSMTA”) and the Music Teachers National Association, Inc. (“MTNA”), Cincinnati, Ohio, a Code Section 501(c)(3) organization.
Article II – Object
Section 1. Said organization is organized exclusively for charitable, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.
Section 2. No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof. No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to, any candidate for public office. Notwithstanding any other provision of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under Section 501(c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under Section 170(c) (2) of the Internal Revenue Code, or corresponding section of any future federal tax code.
Section 3. In the event of the dissolution of this organization, any funds remaining in the treasury after the payment of any outstanding debts shall be contributed to MTNA, FSMTA, or The Florida Orchestra.
Section 4. Within the context of the foregoing, the organization’s mission shall be: A) to raise the standards of music teaching through educational programs and exchanges of ideas, B) to provide opportunities for broader musical experiences for teachers and students, C) to cultivate collegial relations among members of the profession.
Article III – Membership
There shall be five classes of membership: Active, Provisional, Honorary, Retired and Life. All local members shall be affiliated with the Florida State Music Teachers’ Association and the Music Teachers’ National Association. The membership classification provided in the By-laws of the Florida State Music Teachers Association shall prevail over the Greater Pinellas Music Teachers Association Constitution and By-laws in the event of a conflict.
Article IV – Officers
The elected officers shall be as follows: President, Vice-President, Recording Secretary, Corresponding Secretary, and Treasurer.
Article V – Executive Board and Executive Committee
Section 1. The Executive Committee shall consist of the elected officers and the immediate past President.
Section 2. The Executive Board shall consist of the elected officers, the immediate past President, and the following committees: Membership, Newsletter, Parliamentarian, Publicity and Historian.
Article VI – Committees
Personnel of the standing committees shall be appointed by the President, subject to the approval of the Executive Committee, and shall serve for a term of one year. They may be appointed for additional terms at the discretion of the Executive Committee.
Article VII – Meetings
Section 1. The Association shall hold one meeting each month from September through June. The dates of the meetings shall be set by the Executive Board.
Section 2. Special meetings may be called at any time upon recommendation of the Executive Board.
Section 3. The Executive Committee and the Executive Board shall meet upon call of the President.
Article VIII – Quorum
Section 1. A quorum shall consist of one third of our active membership.
Section 2. A majority of the members of the Executive Committee shall be a quorum of that body.
Section 3. A majority of the members of the Executive Board shall be the quorum of that body.
Article IX – Amendments
Section 1. The Constitution may be amended at any regular meeting of the Association by a quorum of the active members, provided that the proposed amendment has been presented in writing to all active members at least thirty days in advance.
Section 2. All amendments must be consistent with Article II of this Constitution.
By-Laws
Article I – Membership
Section 1. There shall be five classes of membership:
a) Active members shall be professional music teachers and members in good standing of the Florida State Music Teachers Association. They have the right to vote, to hold office, and to participate in the activities of the Association.
b) Provisional members shall be professional music teachers who are provisional members of the Florida State Music Teachers Association. This state classification is for those who are unable to meet all the qualification requirements for active membership in the Florida State Music Teachers Association. Provisional members are given a three-year period in which to advance professionally to eligibility for State Membership. Provisional members failing to meet all qualification requirements for State membership within the three-year probationary period shall forfeit all membership standing in the Association. A second membership application may be made when and if the applicant becomes eligible for active membership. Provisional membership shall provide all active membership privileges except the right to hold office the first year.
c) Honorary members shall be persons who have given distinguished service to this Association or to the cause of music. They shall be elected by the Association upon the recommendation of the Executive Board. Honorary members shall not vote nor hold office in the Association.
d) Retired members shall include active members, upon application, who have retired and whose dues have been paid for ten years. Retired members shall not pay dues unless they resume teaching.
e) Life members shall be elected by the membership at the recommendation of the Executive Board. No dues shall be required.
Article II – Election to Membership
Section 1. Application for membership shall be made in writing, with the endorsement of one active member in good standing.
Section 2. Acceptance of applicants shall be by the approval of the Executive Committee.
Article III – Dues
Section 1. Annual dues shall be set by vote of the membership at the April meeting through action initiated by the Executive Board which shall propose the dollar amount. A majority of those present at the April Meeting shall determine the dues amount;
Section 2. Greater Pinellas MTA dues shall be considered delinquent after August 1st for publication in the handbook. Dues must be paid in full for participation in student activities.
Article IV – Election of Officers
Section 1. At the regular March meeting of the Election Year, the President shall appoint a Nominating Committee of three members. Prior to the April meeting, they shall present a slate of one nomination for each office. Additional nominations may be made from the floor.
Section 2. The election of officers shall be held at the regular meeting of the Association in April of each year.
Section 3. These officers shall assume office at the close of the May meeting and shall serve for a term of one year. Officers may serve only one additional consecutive term.
Section 4. The officers shall be elected by ballot, except in the case that the slate presented by the Nominating Committee be accepted by unanimous decision.
Article V – Duties of Officers
Section 1. President. It shall be the duty of the President to preside at all regular and called meetings of the Association, the Executive Committee, and the Executive Board. The President shall serve as ex-officio member of all standing and special committees. The President shall appoint all committee chairs and pro tem appointments in consultation with the Executive Committee. He/she shall approve all notices for the press.
Section 2. Vice-President. In the absence of the President, the Vice-President shall perform all the duties of the President. He/she shall serve as President-Elect.
Section 3. Recording Secretary. It shall be the duty of the Recording Secretary to keep complete and correct records of all meetings of the Association, the Executive Committee and the Executive Board.
Section 4. Corresponding Secretary. It shall be the duty of the Corresponding Secretary to carry on all correspondence assigned by the President and the Executive Board.
Section 5. Treasurer. It shall be the duty of the Treasurer to receive and disburse all monies of the Association, to present a detailed report at each business meeting of the Association, and to present a yearly report at the annual May meeting. He/she shall pay out money on order of the President, if the sum does not exceed fifty dollars. All non-budgeted amounts above fifty dollars must be approved by the majority of the membership present at a regularly scheduled meeting. In special cases, i.e. over the summer, the Executive Committee may approve expenditures.
Section 6. It shall be the duty of all elected officers to attend regularly scheduled meetings of the Association.
Article VI – Duties of the Executive Board and Committee Chairs
Section 1. The Executive Committee shall fill any vacancy that occurs in an office, and shall transact any business requiring prompt attention of the Association.
Section 2. The Executive Board shall outline plans for the year, make recommendations for action to the membership, and set dates for the regular meetings of the Association.
Section 3. Committee Chairs shall submit an annual report including a financial summary at the May meeting.

The Standing Committees shall not be limited to but shall include the following:

Article VIII – Parliamentary Authority
All meetings of the Greater Pinellas Music Teachers Association shall be conducted by the rules of parliamentary procedure. Robert’s Rules of Order (newly revised) shall be adopted as final authority.
Article IX - Amendments
These By-Laws may be amended or revised at any meeting of the Association by a majority of those active members present, provided that the proposed amendment has been presented in writing to all qualified members at least two weeks in advance.
